Partner Terms and Conditions 

1. Definitions

Partner: bars, pubs, pizzerias, restaurants, clubs, and other hospitality businesses collaborating with Jengo.

User: customer who purchases or selects products through the Jengo platform.

Platform / Jengo Marketplace: the website and applications through which users browse, select, and purchase products and services.

Selection / Order: a request made by the User through the Platform to consume a product or service at the Partner’s venue, with online or in-store payment.

2. Purpose

These Terms govern the collaboration between Jengo and the Partner, defining roles, responsibilities, and operational rules for the use of the Platform.

3. Partner Obligations

The Partner agrees to:

• provide products compliant with applicable health, safety, and tax regulations;
• ensure availability and proper preparation of products listed on the Platform;
• respect offers, pricing, and any time or quantity limitations;
• issue receipts or invoices to Users where required by law;
• promptly inform Jengo of closures, unavailability, or changes to the offer.

4. Order and Payment Management

Online Payment:
Jengo acts as a technical intermediary and/or collection agent on behalf of the Partner. Funds are transferred to the Partner net of agreed commissions.

On-site Payment:
Payment is made directly between the User and the Partner. Jengo does not participate in the financial transaction.

Selections made through the Platform constitute a request to consume a product or service at the Partner’s venue. In case of on-site payment, the contract is concluded directly between the User and the Partner.

5. Offers and Promotions

The Partner may participate in promotional offers, including time-limited or quantity-limited campaigns published on the Platform.

Jengo may promote such offers through marketing campaigns, discounts, or other initiatives.

The Partner acknowledges that promotional pricing and conditions may be managed and updated through the Platform.

6. Cashback and Incentives

Users may receive cashback or other promotional incentives according to rules defined by Jengo.

The Partner accepts that such promotional mechanisms are managed by the Platform and may not request individual modifications for specific users.

Jengo reserves the right to suspend or modify promotions in case of misuse or fraudulent activity.

7. Partner Responsibility

The Partner is solely responsible for:

• quality, safety, and compliance of products and services;
• preparation and proper delivery of products;
• actual availability of items listed on the Platform;
• issuance of fiscal receipts or invoices to Users.

8. Limitation of Liability

Jengo acts exclusively as a technological marketplace intermediary.

To the extent permitted by law, Jengo shall not be liable for:

• quality, freshness, or compliance of products provided by the Partner;
• unavailability or failure to deliver services by the Partner;
• issues arising from payments made directly at the Partner’s venue.

The Partner remains fully responsible toward Users for the products and services provided.

9. Termination and Withdrawal

The Partner may terminate the collaboration by providing at least 30 days’ written notice to Jengo.

Jengo may suspend or terminate the partnership in case of breach of these Terms.

Any outstanding payments will be settled according to the commercial agreement between the parties.

10. Fees

The Partner agrees to pay Jengo a commission for marketplace and intermediation services.

Such commission may be deducted directly from processed payments or settled according to the commercial agreement between the parties.

11. Modifications

Jengo reserves the right to modify these Terms at any time.

Changes will be communicated via the Platform and will be deemed accepted by the Partner upon continued use of the service.

12. Governing Law and Jurisdiction

These Terms are governed by Italian law.

The exclusive jurisdiction shall be the place where Jengo is legally registered, unless otherwise required by mandatory law.
